Communication policy


General
Auriga Industries A/S (Auriga) is the listed parent of Cheminova A/S, which constitutes the group’s main activity. Founded in 1936, the company is a global growth and development-oriented industrial group, which went public in 1986.

Cheminova is a global company and supplier of chemical crop protection products. Its main area of activity is the identification, development, production, registration, marketing and sale of crop protection products for controlling weeds, insects and fungal diseases.

 

The group’s internal and external communication must support the general picture of the company’s mission, vision and values by providing a true and relevant picture of the company’s views, objectives, strategy and activities, thus supporting the group’s trustworthiness. Cheminova’s communication policy builds on openness and dialogue based on the code of conduct of the stock exchange, rules governing the protection of sensitive personal data and business secrets.

 

The present communication policy should be seen in the context of Auriga’s stakeholder policy and IR policy. Information to the world in general concerning financial statements, outlook, strategy, financial targets, results and other price-sensitive communication is provided by the Chairman of the Board of Directors and the Executive Board. The company has a three-week silent period prior to the publication of financial reports during which no comments are made on financial results, outlook or on matters in general which may have an impact on the group. The communication policy thus applies to information which is not comprised by the IR policy or which has not already been published under this.

 

Issues management
For the purpose of contributing to improving the group’s reputation and proactively minimising the risk of communication crises, Corporate Communication has established a system for identifying and proactively preparing for the handling of issues which may potentially cause an imbalance between the company and major stakeholders when raised in the media. The systematic Issues Management programme is implemented in collaboration with Cheminova’s global management and specifies the company’s views and reactions to a number of important potential issues, while also defining proactive initiatives aimed at creating a greater understanding and acceptance among stakeholders.

 

Internal communication
Cheminova’s internal communication must ensure that the employees in the global organisation are adequately informed about the group’s activities, views, mission, vision, values and strategic objectives. Moreover, by maintaining an active dialogue, the internal communication must help to strengthen and develop the corporate culture globally at all levels and contribute to increasing the individual employees’ commitment, sense of responsibility and loyalty in their efforts to fulfil the group’s vision, objectives and strategy.

 

Cheminova’s most important internal communication channel is the management structure through which communication flows via the immediate superior. Also, the Corporate Communication department must provide regular information to employees via the intranet and other internal media. Furthermore, the department must facilitate employee and departmental communication via the internal media as well as advising on communication in general.

 

External communication
The world’s perception of Cheminova is influenced by the impressions left by the group through its communication, its conduct, its actions and marketing activities. The external communication must seek to strengthen the understanding among all stakeholder groups of the company, its objectives, activities and challenges, including ethical dilemmas and CSR-related issues.

 

It is therefore essential that all initiatives targeted at external stakeholders should reflect the company’s views as expressed in its mission, vision, values, objectives, strategy and business principles.

 

All contact with the media, which is generally handled by Corporate Communication, must contribute to ensuring that Cheminova is perceived and acknowledged as a serious and responsible player which is aware of its corporate social responsibilities as reflected in the group’s values, CSR standards and Code of Business Principles.

 

All employees can speak to the press on Cheminova’s behalf within their own field of expertise. Similarly, all business units in the group’s regions must establish and maintain contact to trade media as well as news media about the areas of activity of the individual units.

 

In case of particularly sensitive, serious or critical issues (see Issues Management) which involve the owners, including the main shareholder in Auriga, the external communication will generally be handled by the Executive Board.

Generally speaking, all external communication must be handled in collaboration with Corporate Communication with a view to ensuring uniform and expedient communication.

 

 

Corporate Communication is to ensure continuous communication with stakeholders via:

 

• Contact to and dialogue with the media and other stakeholders
• An informative website
• Distribution of information about Cheminova to Auriga’s registered shareholders
• Printed information about Cheminova
• CSR report and news
• Open events, company visits, talks, presentations etc.
• Active dialogue, accessibility and correspondence
